Terms of Service
These Terms govern your membership in Stags and your use of the Stags app and mystags.co (together, the “Service”), operated by Stags LLC (“Stags,” “we,” “us”). By applying for membership, creating an account, or using the Service, you agree to these Terms, the Community Guidelines, and the Privacy Policy.
Please read Section 14. It contains a binding arbitration agreement and a class action waiver that affect how disputes between you and Stags are resolved.
1. A private membership club
Stags is a private social club for men in the Washington, DC area. Membership is by application. Stags reviews each application and may approve, decline, or later revoke membership in its sole discretion, and is not required to give a reason. Approval is not guaranteed, and no membership fee is charged until your application is approved. Stags is a club for making plans and friendships; it is not a dating or matchmaking service.
2. Eligibility and your account
You must be at least 18 years old and able to enter a binding contract to apply. You agree to provide accurate information in your application and profile, to use your real name, and to use a profile photo that shows your face. You may hold one account. You are responsible for keeping your login credentials secure and for all activity under your account, and you agree to tell us promptly at support@mystags.co if you believe your account has been accessed without permission.
3. Membership and billing
Plans. Membership is offered monthly or annually. The price shown at the time you subscribe controls. Prices at launch are $9.99 per month or $79 per year.
Auto-renewal. Your membership renews automatically at the end of each billing period at the then-current price until you cancel. We will notify you before an annual renewal. If we change the price of your plan, we will give you advance notice and the change will apply at your next renewal.
Billing. Membership is billed by Apple through the App Store, by Google through Google Play, or by Stripe on the web, depending on where you subscribe. Their terms and refund policies apply to purchases they process.
Cancellation. You can cancel at any time through the App Store, Google Play, or the Stripe customer portal. Cancellation stops the next renewal; your membership stays open through the end of the period you have paid for. Except where the law or the applicable app store's policy requires otherwise, fees are not refunded for partial periods.
Past due. If a renewal payment fails, we will let you know. Access may be suspended until payment is updated, and the membership may be canceled if payment is not resolved.
Complimentary and trial memberships. Stags may offer complimentary, trial, or beta-tester memberships. These are subject to these Terms, may be ended by Stags at any time, and convert to a paid plan only if you choose one.
Taxes. Prices exclude taxes unless stated. Where taxes apply, they are added at checkout or included as required by law.
4. Conduct
The Community Guidelines are part of these Terms. In addition, you agree not to: use Stags for dating or sexual solicitation; harass, threaten, or demean anyone; cold-pitch, recruit, fundraise, or use the member list or messaging as a lead list; impersonate anyone or misrepresent your identity, age, or affiliation; post content you do not have the right to share; repost members' messages, photos, or profiles outside Stags without permission; scrape, copy, or collect member data; interfere with the Service or attempt to access it in unauthorized ways; create an account to evade a suspension or removal; or use the Service for anything unlawful.
5. Your content
You own the content you post — profile information, photos, plans, posts, and messages. You grant Stags a non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and distribute that content within the Service in order to operate it, and to use it in anonymized or aggregated form. We will not use your photo or name in marketing outside the Service without your permission.
You are responsible for your content and represent that you have the rights to post it. Stags does not pre-screen content but may review, edit, or remove content at any time for any reason, including violations of these Terms or the Community Guidelines. If you send us suggestions or feedback, we may use them without obligation to you.
6. Plans and meeting in person
Most plans on Stags are organized by members; Stags may host some directly. Stags does not run background checks on members and does not vet venues, activities, hosts, or other members. You decide which plans to attend and whom to meet, and you do so at your own risk. Activities such as golf, hiking, sports, travel, and events at bars, restaurants, and venues carry inherent risks. To the fullest extent permitted by law, you assume those risks and release Stags from claims arising out of plans you attend and your interactions with other members, whether in the app or in person.
Stags is not a party to arrangements among members, including money members collect from each other for tickets, buy-ins, reservations, or shared costs. Some events are ticketed by Stags. For those, the ticket price, the payment link, and any refund terms are stated on the event before you buy, and additional terms may apply to that event.
An RSVP is a commitment. Two no-shows in 60 days pause new RSVPs for 14 days. Buying a ticket to a ticketed event does not change these rules; mark yourself Going so the host has an accurate count.
7. Recommendations on the Lodge
Members may ask for and give recommendations for businesses and service providers on the Lodge. Stags does not sell listings, placements, or endorsements, does not vet any business a member recommends, is not a party to any transaction between you and that business, and is not responsible for its goods, services, or conduct.
8. Suspension and termination
Stags may suspend or end your membership, or restrict features, if you violate these Terms or the Community Guidelines, if your conduct creates risk for other members or for Stags, or if required by law. We may also end memberships for other reasons with notice. You may end your membership at any time by canceling your subscription and deleting your account in the app.
If Stags ends your membership for a reason other than your breach of these Terms, we will refund the unused portion of any prepaid annual term. If your membership ends because of your breach, fees are not refunded except where the law requires. Sections 5 through 17 survive the end of your membership.
9. Intellectual property
The Stags name, antler mark, app, website, design, and content (other than member content) belong to Stags LLC and are protected by trademark and copyright law. We grant you a limited, revocable, non-transferable license to use the app and website for your personal, non-commercial use as a member. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Service except as permitted by law.
10. App store terms
If you use the Stags app on an Apple device, the following also apply. These Terms are between you and Stags LLC, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claim by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and consumer protection claims. If a third party claims the app infringes its intellectual property rights, Stags LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim. You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you use the app on an Android device, Google's terms for Google Play govern your download and any purchase processed by Google.
11. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Stags disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Stags does not guarantee that plans will happen, that members will attend, that any member will respond to you, or that you will make friends. Stags is not an emergency, crisis, medical, legal, or other professional service. If you are in immediate danger, call 911. For crisis support, call or text 988.
12. Limitation of liability
To the fullest extent permitted by law, Stags LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to the Service, these Terms, or your interactions with other members, whether based on contract, tort, or any other theory, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid Stags in the twelve months before the claim arose or one hundred dollars ($100). Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Stags LLC and its members, managers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, your conduct toward other members, or your violation of these Terms or of any law or third-party right.
14. Arbitration and class action waiver
Informal resolution first. Before starting arbitration or a lawsuit, you agree to send us a written notice describing the dispute to support@mystags.co, and we agree to do the same to the email on your account. Both sides will try in good faith to resolve the dispute for 60 days after notice.
Binding arbitration. If the dispute is not resolved, any claim arising out of or relating to these Terms, the Service, or your membership will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this agreement. The arbitrator, not a court, decides all issues, including whether a claim is subject to arbitration. Arbitration will take place in Washington, DC, or by video or telephone if you prefer. AAA's rules govern fees; if the arbitrator finds your claim was not frivolous, Stags will pay the filing and arbitrator fees beyond what you would have paid to file in court.
Class action waiver. You and Stags each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims of more than one member or preside over any form of class or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court, and the remaining claims will still be arbitrated.
Exceptions. Either side may bring an individual claim in small claims court, and either side may seek injunctive relief in court to protect intellectual property rights.
Your right to opt out. You may opt out of this arbitration agreement by emailing support@mystags.co within 30 days after you first accept these Terms, with your name and the email on your account and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
Jury waiver. To the extent a claim proceeds in court rather than arbitration, you and Stags each waive the right to a jury trial.
15. Governing law
These Terms are governed by the laws of the District of Columbia, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 14. Any claim that is not subject to arbitration will be brought exclusively in the state or federal courts located in the District of Columbia, and you consent to their jurisdiction.
16. Changes to these Terms
We may update these Terms. If a change is material, we will notify you in the app or by email at least 14 days before it takes effect, except for changes required by law, which take effect when posted. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, cancel your membership before the change takes effect.
17. General
These Terms, the Community Guidelines, and the Privacy Policy are the entire agreement between you and Stags about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a transfer of Stags.
